The SaaS Academy

These SaaS Academy Marketing Program Participant Terms govern your participation in any The SaaS Academy affiliate marketing program (each a “Program,” and collectively, the “Programs”). By applying to or participating in a Program, you (“you” or “Participant”) agree to comply with these Participant Terms with Data on the Fly, LLC, dba The SaaS Academy (“The SaaS Academy,” “we,” “us,” or “our”).
These Terms incorporate the most current version of all program guides, specifications, and policies we make available to you (“Program Policies”). Each Program may have additional policies that apply. In the event of a conflict between these Participant Terms and any Program Policy, the Participant Terms will prevail unless explicitly stated otherwise.
If you register on behalf of an organization, you confirm you are authorized to bind that entity to these Terms.

1. Eligibility
Acceptance into the Program is at our sole discretion. We may approve or reject your application for any reason. Once accepted, you become a “Participant” and may earn commissions by promoting eligible The SaaS Academy offerings.
We reserve the right to revoke your participation at any time.
1.1 Program Compliance
You must comply with these Terms and any Program Policies to remain eligible. We reserve the right to audit your marketing content or platform activity at any time.
1.2 Violations
If you breach these Terms or applicable policies, we may withhold or revoke any unpaid commissions and pursue other legal remedies.

2. Fees and Payments
2.1 Affiliate Links
As a Participant, you’ll receive a personalized affiliate link to promote The SaaS Academy. Use of the link must comply with all applicable laws and platform terms. You may only promote on properties you own or control. If we request removal of your link, you must do so within 24 hours.
2.2 Commission Eligibility
You will earn a 35% commission on qualified purchases of eligible courses made via your affiliate link. Commissions apply to the customer’s initial course transaction only. Commissions are not earned on upsells or purchases made outside the 90-day cookie window.
2.3 Refund Clawbacks
If a referred student receives a refund, your commission for that sale will be reversed or deducted from future payouts.
2.4 Payment Terms
Affiliates are paid quarterly via PayPal. To receive payment, you must:
• Have a valid PayPal account on file
• Complete all tax documentation (if required)
• Agree to these Participant Terms
2.5 Taxes
You are responsible for any taxes owed on affiliate income. If required by law, we will withhold appropriate amounts and provide documentation upon request.

3. Content and Participation
3.1 Promotion Standards
You agree to market The SaaS Academy fairly and truthfully. You may not:
• Misrepresent yourself as an employee or representative
• Use coupon or deal sites
• Modify The SaaS Academy brand assets
• Use spammy tactics
• Violate FTC disclosure rules or privacy laws
3.2 Customers
All customers referred through your link are customers of The SaaS Academy. You may not interact with them regarding purchases or customer service. Please direct them to contact us directly.
3.3 Brand and Assets
We may provide official affiliate guides, logos, course images, and other content (“SaaS Academy Content”) for use in your promotions. You agree to update outdated content promptly if notified.
3.4 Disclosures and Compliance
You must disclose your affiliate relationship per FTC guidelines in a clear and visible way (e.g., “I may earn a commission if you sign up through this link”). FTC Guide
3.5 Publicity
We may mention your name, likeness, or affiliate content on our website or social channels. You may revoke this right by emailing [email protected], and we’ll remove references within 5 business days.

4. Intellectual Property
4.1 License
We grant you a limited, revocable, non-transferable license to use SaaS Academy Content and branding solely for Program promotion.
4.2 Ownership
You retain ownership of your content. We retain ownership of all SaaS Academy intellectual property. Any derivative works you create using our content become our property.
4.3 Use of Your Content
You grant us the right to republish or share your affiliate content for promotional use (with credit), unless you revoke this by email as described above.

5. Confidentiality
You agree to keep confidential any non-public information we share with you about our products, services, customers, or operations unless required by law or previously authorized in writing.

6. Termination
Either party may terminate your participation at any time. Upon termination, you must cease use of all affiliate materials and links. We may hold final payouts temporarily to account for refunds or adjustments.

7. Independent Contractor
You are an independent contractor. Nothing in this agreement creates an employment, agency, or partnership relationship between you and The SaaS Academy.

8. Warranties
You warrant that:
• You have the right to enter into this agreement
• You will comply with all applicable laws
• Your content is original and free of third-party claims
• Your promotions do not violate any obligations to employers or other parties
We do not guarantee any traffic, income, or performance expectations.

9. Indemnification
You agree to indemnify and hold harmless The SaaS Academy, its officers, employees, and agents from any claims or damages arising from your breach of these Terms, your content, or your actions as a Participant.

10. Limitation of Liability
To the maximum extent allowed by law, we are not liable for any indirect, incidental, or consequential damages. Our liability will not exceed $500 or the amount of commissions earned in the prior 12 months, whichever is greater.

11. General Terms
11.1 Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of laws principles.
11.2 Arbitration
Disputes will be resolved through binding arbitration in Phoenix, Arizona, under the AAA Commercial Arbitration Rules.
11.3 No Class Actions
You agree to resolve disputes on an individual basis only.
11.4 Notices

11.5 Modifications
We may modify these Terms at any time. Continued participation in the Program indicates your agreement to any updated terms.
11.6 No Assignment
You may not assign this agreement without our written consent.
11.7 Entire Agreement
These Terms, along with any Program Guides, constitute the entire agreement between you and The SaaS Academy.
11.8 Survival
All clauses that by their nature should survive termination shall do so.
